Dealer Contract

WHEREAS Coxsackie Antique Center maintains a sales environment for the display and sale of antiques, and

WHEREAS __________________________________ (hereinafter "dealer") has a selection of antiques to present to the public for sale,

BE IT HEREBY AGREED THAT:

Section 1: The Coxsackie Antique Center will

  1. Provide space for the sale of antiques and fine quality collectibles.
  2. Administer the sale of the dealers antiques and collectibles, including collection and payment of sales tax and maintaining of sales records.
  3. Provide prompt payment to the dealer on a bi-weekly basis for sales. A detailed record of the items sold and the dealer's price tag will be provided with each payment.
  4. Provide and maintain a clean and attractive sales environment.
  5. Be open for business seven days per week, except for major holidays and occasional days with severely inclement weather.
  6. Provide technical support and assistance to dealers.
  7. Maintain a reference library for use by the dealers and the public.

Section 2: The Dealer will

  1. Provide a selection of antiques and collectibles for sale to the public that are consistent with the Center's scope of merchandise. That scope includes items manufactured up to the mid 1950s with occassional exceptions for more recent items.
  2. Maintain their space and merchandise on a regular basis. including regularly cleaning their booth and merchandise.
  3. Accurately label all items being offered for sale.
  4. Make every effort to assure that no reproduction items are offered for sale.
  5. Abide by the Rules of Center as listed in Section 3 below, as set forth in Appendix 1 attached herewith, and as may be set forth in future amended versions of the Rules of the Center.

Section 3: Additional terms

  1. Items are placed at the Center at the risk of the participating dealer. The Center will observe normal procedures to protect merchandise but is not responsible for theft, loss, or damage.
  2. Managment may reject any item for any reason.
  3. Rent is due the first of each month. A 10% late fee will be applied to rents received more than 21 days late. In the event of non-payment of rent, management may apply dealer sales revenue to outstanding rent before paying the balance to the dealer.
  4. Dealers MUST provide one month notice of intention to withdraw from the Center.

Section 4: Rent amount

  2. b.Any changes in the rental spaces or items will be indicated on an attached appendix 2 prepared at the time the change occurs. This appendix will reflect the revised rentals and rates and be incorporated into this agreement.
  3. b.Occassional rent increases may be necessary to accommodate Center costs. Any increases will be announced at least one month prior to going into effect.

Appendix 1: CAC Rules and Regulations

  1. Booths must be kept filled, neat, and presentable at all times, with clean, quality, authentic merchandise.
  2. No reproduction items are permitted at the Center. Occassional exceptions might be made for high quality indelibly marked items. Items believed by staff to be reproductions will be returned to the dealer.
  3. Items offered for sale must have been manufactured prior to the mid-1950s. Occassional exceptions might be made for collectible china, glassware, furniture, toys, etc. Any post mid-1950s item should be brought to the attention of the store manager.
  4. Merchandise priced above $10 may be subject to a 10% discount for dealers and up to a 10% discount for other customers.
  5. If no discount is to be allowed, the tag must be marked "firm."
  6. CAC Staff will contact you about reasonable offers greater than a 10% discount unless you indicate you do not wish to be called on any offers.
  7. Sales tags must be clearly marked with dealer code, item description (in sufficient detail to prevent tag switching), notes on defects or repairs, and price (incl. "pair", "each", or "set", etc. if appropriate.)
  8. No item may be tagged with only a price and dealer code. (tags with only a price can be easily switched to more expensive items of yours or some other dealers).
  9. Items being used for display purposes must be clearly marked with your dealer code and with "Display only" or "Not For Sale."
  10. You may include an inventory number if you wish. We will attempt to record the number on the sales invoice and dealer slip. (But please be sure it won't be mistaken for a price or dealer code.)
  11. Use the agreed upon dealer code. Non-conforming dealer codes may result in failure to credit you with the sale.
  12. Items purchased by charge cards are subject to a credit card company service fee of up to 5%, which they deduct from the amount paid to the Center for the transaction. That bank fee will be deducted from the payment to the dealer for the item. The actual deduction will be based on the actual charge to the Center.
  13. The Center will hold periodic shop-wide sales during which the 10% optional discount will be advertised as applying to all items unless the item is marked "firm." Dealers will be notified of such sales in advance (through the center's dealer newsletter) and may choose to participate at a higher overall booth discount, increase discounts on selected items, or choose not to participate in the sale. Dealers choosing not to participate on the terms set forth in center advertising must come to the center and mark their items and booth to reflect their individual sale conditions.
  14. Items are placed at the Coxsackie Antique Center at the risk of the participating dealer. The Center will observe normal procedures to protect merchandise but is not responsible for theft, loss, or damage. It is the responsibility of the participating dealer to insure the items and also to display them in a way which minimizes the possibility of breakage or theft.
  15. Common spaces and walkways must be kept clear at all times. Merchandise must be kept within the marked boundries of the booth. This is for the safety of your merchandise as well as of our employees and customers.
  16. Cleaning and maintaining the space and the merchandise in the booth is the responsibility of the dealer. Excessively dusty merchandise suggests to potential buyers that the item is seriously overpriced because it has been on the shelf for a long time. It also detracts, not only from the sales of the dealer who owns the items, but also from the sales of all dealers in the Center.
  17. Managment may reject any item for any reason.
  18. Funerary items are not permitted, including carved grave markers, plaques, fraternal affiliation grave markers, etc.
  19. Items must be safe for use by the purchaser. Potential hazards should be noted on the tag.

  22. Items which are not the property of the dealer may be offered by the dealer for sale in the dealers booth. Such items will be treated by the Center as belonging to the dealer and must conform with the rules of the Center. Such items must be marked with the dealers code. Variant codes are not permitted because they may not be properly recorded, resulting in non-payment. Payment for such items will be made to the participating dealer - not to the owner.
  23. Hoots and Howls, the Center newsletter for dealers, is our way of communicating with you. You MUST read it. If we put information in Hoots, we consider you notified.
  24. We hold sales checks at the Center for the dealers to pick up during their frequent visits to their booths. Dealers may, however, call and request that we mail their check to them. If dealers want checks routinely mailed, they should place a group of addressed envelopes (we will provide the stamps) in their dealer folder.
  25. Dealers must consider the possiblility of damage and breakage when setting out items in their space.
  26. Dealers should attempt to set up their space in a way that does not block or detract from other nearby dealers.
  27. Dealers must abide by all rules of CAC as established by management.
